Tesseract ZERO – Customer Disclosure & Key Terms

This Customer Disclosure Document provides a high-level summary of the key terms and conditions associated with the Tesseract ZERO Energy Plan Agreement (the “Agreement”) between you (the Customer) and Tesseract Energy Pty Ltd (“Tesseract Energy”, “we”, “us”, or “the Supplier”).

This document is intended to assist your understanding of the Agreement. It does not replace the formal contract, which prevails in the event of any inconsistency. Customers are encouraged to review all contractual documents carefully before entering into the Agreement.

  1. Overview of the Agreement

By entering into an Agreement with Tesseract Energy, you agree to purchase electricity supplied under the Tesseract ZERO Energy Plan, which is powered by on-site solar and battery infrastructure.

As part of the Energy Plan:

  • Tesseract Energy supplies solar-generated electricity to your premises; and
  • A solar panel and battery system may be installed at your property without an upfront equipment purchase, subject to eligibility, site assessment, and contractual terms.

The installation, ownership, and operation of the system are governed by the formal Agreement provided to you.

  1. Term of Agreement

The initial term of the Agreement is ten (10) years, as specified in your individual contract.

At the end of the initial term, the Agreement may be extended or renewed by mutual written agreement between both parties, subject to applicable terms and conditions.

  1. Electricity Pricing

Under the Agreement, electricity supplied from the Tesseract ZERO solar and battery system is charged at a fixed rate of $0.28 per kilowatt-hour (kWh) for the duration of the initial term, subject to the Agreement, eligibility criteria, and applicable terms and conditions.

This rate applies only to electricity supplied under the Tesseract ZERO Energy Plan and does not apply to any electricity sourced from the broader electricity network or third-party retailers.

  1. Installation, Operation & Maintenance

Tesseract Energy is responsible for:

  • The installation of the solar panel and battery system (where applicable);
  • Ongoing operation and maintenance of the system during the Agreement term; and
  • Repairs or replacements arising from normal wear, system faults, or performance issues.

Installation timelines and technical requirements are subject to site assessment, regulatory approvals, and network constraints.

  1. Grid Electricity Supply

Tesseract Energy will install and/or manage metering equipment required to measure electricity supplied under the Tesseract ZERO Energy Plan.

Electricity supplied from the broader electricity grid is not provided by Tesseract ZERO. Customers must hold a separate retail electricity supply agreement with an authorised Australian energy retailer for grid-supplied electricity and are responsible for all associated charges under that retail agreement.

Tesseract Grid is a retail electricity plan offered through one of Tesseract Energy’s authorised retail partners. Customers who select the Tesseract Grid Retail Energy Plan will enter into a separate agreement with that authorised energy retailer.

Customers may alternatively choose any other authorised energy retailer for their grid electricity supply. Where a customer elects to use a retailer other than Tesseract Grid, the pricing and operation of the Tesseract ZERO Energy Plan may be adjusted in accordance with the terms and conditions of the Agreement to reflect the interaction between the grid tariff and the solar and battery system.

  1. Billing & Payment Terms

You will receive regular itemised invoices (typically monthly) detailing:

  • Electricity consumption supplied under the Tesseract ZERO Energy Plan; and
  • Applicable charges calculated at the agreed rate.

Payment is due within the timeframe specified in your contract. Late payments may attract fees, interest, or enforcement action in accordance with the Agreement and applicable laws.

  1. Ownership & Insurance

All solar panels, battery systems, and associated equipment installed and energy produced from the system under the Agreement remain the property of Tesseract Energy throughout the term.

Tesseract Energy maintains appropriate insurance coverage for the system. You are responsible for taking reasonable care of the equipment and must not intentionally damage, modify, or interfere with the system.

Damage resulting from customer negligence or unauthorised interference may result in liability under the Agreement.

  1. Termination

Termination rights and obligations for both parties are set out in the formal Agreement.

Early termination may be subject to notice requirements, fees, or other consequences as detailed in your contract.

  1. Limitation of Liability

The Agreement contains provisions that limit and allocate liability between the parties, including exclusions and indemnities permitted under Australian law.

Customers should review these provisions carefully to understand their rights and obligations.

  1. Governing Law & Jurisdiction

The Agreement is governed by the laws of Australia.

Each party submits to the exclusive jurisdiction of the courts of Australia in respect of any dispute arising out of or in connection with the Agreement.

  1. Important Acknowledgement

By proceeding with the Agreement and the use of electricity supplied under the Tesseract ZERO Energy Plan, you acknowledge that:

  • You have read and understood this Customer Disclosure Document;
  • You have reviewed the formal Agreement provided to you; and
  • You agree to be bound by the terms and conditions set out in the Agreement.
